By submitting your Fan Submissions to the Company you hereby agreed the following License Agreement (hereafter, the "Agreement")

1. By submitting your Fan Submissions to the Company, you hereby grant the Company, its agents, and affiliates a perpetual, non-exclusive, worldwide, royalty-free, sub licensable, and transferable license to exhibit, use, distribute and commercially exploit the Fan Submissions or any portion, derivative, or modification thereof any manner and for any purposes including, but not limited to​ posting, publishing or display in connection with the Company Website, KP COMIC, Facebook page, Instagram, Youtube, other Social Network Media platform, affiliates, sponsor, unrelated websites, exhibitions, product incorporation, broadcast, promotion, and advertising. You hereby grant the Company the use of your name, Fans Submissions, submitted information and content in connection with the Company exploitation or promotion thereof. The Company shall have the right to edit Fan Submissions in any manner and for any purpose, and to use any concept, idea, techniques or knowledge contained in Fan Submissions for any purpose. Notwithstanding the foregoing, for the avoidance of doubt, the Company have no obligation to exploit any license granted with respect your Fan Submissions in this Agreement.

2. By submitting your Fan Submissions to the Company, you agree to the Company, Fan Submissions Agreement, Agreement, and Terms of Use and affirm that the content you submitted are your own creation and does not infringe the the rights of any third party. You acknowledge that your Fan Submissions content and other information provided within the submission may be used by the Company and its affiliates for publicity and in other media (including but not limited to Facebook, Instagram, Twitter, Pinterest, Youtube and other Social Network Media outlets) in perpetuity. You also acknowledge that the information you provided are correct and are governed by the Company's Term of Use and Privacy Policy.

3. You acknowledge and understand that there shall be no payment, royalties, consideration, and / or other compensation of any sort due or payable to you from the Company, its agents, and / or its affiliates for the use of your Fan Submissions or the content therein.

4. Nothing in this agreement shall be construed to grand you any right or ownership with respect to any content or intellectual property owned or licensed to the Company.

5. You hereby warrant that you own the Fan Submissions (and the content therein, except for the content or intellectual property owned by the Company), or that you otherwise have the right to grand use thereof to the Company in this Agreement, and that the publication and display of the Fan submissions in any form does not violate privacy and / or publicity rights, copyrights, trademark, contract rights, publishing rights, or any other rights of a third party, other person or entity.

6. You hereby discharge, indemnify, release, and hold harmless the Company, together with its, agents, affiliates, sponsor, representatives, employees, shareholders, members, respective directors, and successors from any action and / or liability, in any form or manner, arising from any infringement of any third party's rights and intellectual property in connection with the Fan Submissions or from the breach of your part of the representation and warranty.

7. You hereby discharge, release, and hold harmless the Company from any action and / or liability, in any form or manner arising in connection with the Company's use or display of your Fans Submissions, or disclosure of my name or other personal information in connection therewith, including action and / or liability for personal injuries, death, damage to, or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional, whether under a theory of contract, tort (including negligence), warranty, or other theory, to the extent permitted by law.

8. Nothing in this Agreement shall be deemed to amend, invalidate, and / or override any other agreement or Terms and Conditions you have previously agreed to, or are concurrently agreeing to, with the Company. To the extent any terms of this Agreement shall contravene any such pre-existing or concurrent agreements, the terms of this Agreement shall govern.

9. This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (cinluding non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of Thailand. This Agreements executed in English and English shall be the prevailing language of this Agreement. In case of any inconsistency between the English version and translation, the English versional shall prevail.

10. Each Party irrevocably agrees that the courts of Thailand shall have the exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims).

 11. If any provision of this Agreement is or becomes or deemed invalid, illegal or unenforceable in any jurisdiction, such provision shall be deemed amended to conform to the applicable laws of such jurisdiction so as to be valid and enforceable, or, if it can not be so amended without materially altering the intention of the parties, it will be stricken, but the validity, legality and enforceability of such provision shall not in any way be affected or impaired thereby in any other jurisdiction and the remainder of this Agreement shall remain in full force and effect.

12. Waiver by either of the parties of rights, remedy, or any breach of any provision of this Agreement shall not operate or be construed as a waiver of any prior or subsequent breach of the same or any other provision hereof.
